Holdings Limited v. Antigua and Barbuda<\/em>, 2020 ONCA 12<\/strong><i class=\"wpel-icon fa fa-external-link\" aria-hidden=\"true\"><\/i><\/a>, the Court of\u00a0<a class=\"st_tag internal_tag\" title=\"Posts tagged with appeal\" href=\"https:\/\/www.thelitigator.ca\/tag\/appeal\/\" rel=\"tag\" data-wpel-link=\"internal\">Appeal<\/a>\u00a0for Ontario upheld Mr. Justice Paul\u00a0<a class=\"st_tag internal_tag\" title=\"Posts tagged with Perell\" href=\"https:\/\/www.thelitigator.ca\/tag\/perell\/\" rel=\"tag\" data-wpel-link=\"internal\">Perell<\/a>\u2019s decision to dismiss H.M.B. At the time, there were four Authorized Representatives implementing the program in BC.<\/p><div id=\"antig-865214987\" class=\"antig-content antig-entity-placement\"><a href=\"https:\/\/www.facebook.com\/ReggaeInTheParkAntigua\" aria-label=\"lucanio\"><img src=\"https:\/\/mlavawteztbj.i.optimole.com\/w:864\/h:1080\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2020\/12\/lucanio.jpeg\" alt=\"\"  srcset=\"https:\/\/mlavawteztbj.i.optimole.com\/w:864\/h:1080\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2020\/12\/lucanio.jpeg 1080w, https:\/\/mlavawteztbj.i.optimole.com\/w:240\/h:300\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2020\/12\/lucanio.jpeg 240w, https:\/\/mlavawteztbj.i.optimole.com\/w:819\/h:1024\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2020\/12\/lucanio.jpeg 819w, https:\/\/mlavawteztbj.i.optimole.com\/w:768\/h:960\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2020\/12\/lucanio.jpeg 768w\" sizes=\"(max-width: 696px) 100vw, 696px\" width=\"1080\" height=\"1350\"   \/><\/a><\/div>\n<p>Specifically, Justice Perell held that the Antiguan government was not \u201ccarrying on a business\u201d in British Columbia for three reasons:<\/p>\n<ul>\n<li>the Antiguan government had no physical presence in the province;<\/li>\n<li>it did not carry on any sustained business activity in the province; and<\/li>\n<li>the four Authorized Representatives operating in BC were not agents or licensed agents of the Antiguan government, and they were carrying on their own independent business.<\/li>\n<\/ul>\n<p>In the context of section 3(g) of the\u00a0<em>REJA,\u00a0<\/em>Justice Perell concluded that the \u201coriginal judgment\u201d was the Privy Council Judgment not the BC judgment. Since Antigua would have had a good defence under the\u00a0<a class=\"wpel-icon-right\" href=\"https:\/\/www.ontario.ca\/laws\/statute\/02l24\" target=\"_blank\" rel=\"external noopener noreferrer\" data-wpel-link=\"external\"><em>Limitations Act 2002<\/em>, S.O. 2002, c. 24, Sch. B<i class=\"wpel-icon fa fa-external-link\" aria-hidden=\"true\"><\/i><\/a>, had HMB brought a common law action to enforce the Privy Council Judgment in Ontario, registration was barred.<\/p><div id=\"antig-1342249552\" class=\"antig-content_2 antig-entity-placement\"><a href=\"https:\/\/www.courts.com\/antigua\/\" aria-label=\"500X500 (1)\"><img src=\"https:\/\/mlavawteztbj.i.optimole.com\/w:500\/h:500\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2026\/03\/500X500-1.jpg\" alt=\"\"  srcset=\"https:\/\/mlavawteztbj.i.optimole.com\/w:500\/h:500\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2026\/03\/500X500-1.jpg 500w, https:\/\/mlavawteztbj.i.optimole.com\/w:300\/h:300\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2026\/03\/500X500-1.jpg 300w, https:\/\/mlavawteztbj.i.optimole.com\/w:150\/h:150\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2026\/03\/500X500-1.jpg 150w\" sizes=\"(max-width: 500px) 100vw, 500px\" width=\"500\" height=\"500\"   \/><\/a><\/div>\n<p>On its appeal, HMB asserted that Justice Perell erred in failing to: (1) apply the criteria for \u201ccarrying on business\u201d more liberally; and (2) interpret \u201coriginal judgment\u201d to mean the BC judgment, not the Privy Council Judgment.<\/p>\n<p>The Court of Appeal dismissed HMB\u2019s appeal on the basis that Justice Perell did not err in finding that Antigua was not \u201ccarrying on a business\u201d in BC at the relevant time. This was a question of fact and as such the Court of Appeal would not intervene absent a palpable and overriding error. By addressing the first issue, the Court of Appeal concluded that it was unnecessary to determine the meaning of \u201coriginal judgment.\u201d<\/p><div id=\"antig-3980472314\" class=\"antig-content_3 antig-entity-placement\"><a href=\"https:\/\/www.antiguabarbudaculinarymonth.com\/\" aria-label=\"CM key_WEB 1300x300_1\"><img src=\"https:\/\/mlavawteztbj.i.optimole.com\/w:1301\/h:301\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2021\/04\/CM-key_WEB-1300x300_1.jpg\" alt=\"\"  srcset=\"https:\/\/mlavawteztbj.i.optimole.com\/w:1301\/h:301\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2021\/04\/CM-key_WEB-1300x300_1.jpg 1301w, https:\/\/mlavawteztbj.i.optimole.com\/w:300\/h:69\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2021\/04\/CM-key_WEB-1300x300_1.jpg 300w, https:\/\/mlavawteztbj.i.optimole.com\/w:1024\/h:237\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2021\/04\/CM-key_WEB-1300x300_1.jpg 1024w, https:\/\/mlavawteztbj.i.optimole.com\/w:768\/h:178\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2021\/04\/CM-key_WEB-1300x300_1.jpg 768w\" sizes=\"(max-width: 696px) 100vw, 696px\" width=\"1301\" height=\"301\"   \/><\/a><\/div>\n<p>HMB argued that Justice Perell should have interpreted the legal criteria for \u201ccarrying on a business\u201d more liberally, submitting that\u00a0<em>Wilson v. Hull,\u00a0<\/em>1995 ABCA 374 only requires a defendant to have \u201csome direct or indirect presence in the state asserting jurisdiction, accompanied by a degree of business activity which is sustained for a period of time.\u201d HMB argued further that the presence of Authorized Representatives in BC was sufficient to meet the test for \u201ccarrying on a business.\u201d<\/p><div id=\"antig-1165543525\" class=\"antig-content_6 antig-entity-placement\"><a href=\"https:\/\/discoverflow.co\/web\/antigua\" aria-label=\"ANU CVP Digital Broadband 1200x400_1\"><img src=\"https:\/\/mlavawteztbj.i.optimole.com\/w:1201\/h:401\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2025\/11\/ANU-CVP-Digital-Broadband-1200x400_1-1.jpg\" alt=\"\"  srcset=\"https:\/\/mlavawteztbj.i.optimole.com\/w:1201\/h:401\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2025\/11\/ANU-CVP-Digital-Broadband-1200x400_1-1.jpg 1201w, https:\/\/mlavawteztbj.i.optimole.com\/w:300\/h:100\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2025\/11\/ANU-CVP-Digital-Broadband-1200x400_1-1.jpg 300w, https:\/\/mlavawteztbj.i.optimole.com\/w:1024\/h:342\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2025\/11\/ANU-CVP-Digital-Broadband-1200x400_1-1.jpg 1024w, https:\/\/mlavawteztbj.i.optimole.com\/w:768\/h:256\/q:mauto\/f:best\/https:\/\/antiguanewsroom.com\/wp-content\/uploads\/2025\/11\/ANU-CVP-Digital-Broadband-1200x400_1-1.jpg 768w\" sizes=\"(max-width: 696px) 100vw, 696px\" width=\"1201\" height=\"401\"   \/><\/a><\/div>\n<p>Antigua and Barbuda submitted that Justice Perell\u2019s decision was consistent with the analysis to assess the degree of connection required in\u00a0<em>Wilson v. Hull<strong>.\u00a0<\/strong><\/em>In addition, Antigua emphasized that marketing products through an agency (in this case the Authorized Representatives) does not mean that the party retaining the agents was therefore carrying on business in that province.<\/p>\n<p>Justice Perell agreed with Antigua as to the degree of connection required, citing\u00a0<a class=\"wpel-icon-right\" href=\"https:\/\/scc-csc.lexum.com\/scc-csc\/scc-csc\/en\/item\/15497\/index.do\" target=\"_blank\" rel=\"external noopener noreferrer\" data-wpel-link=\"external\"><em>Chevron Corp. v. Yaiguaje,\u00a0<\/em><em>2015 SCC 42<\/em><i class=\"wpel-icon fa fa-external-link\" aria-hidden=\"true\"><\/i><\/a>, he noted \u201c<strong>for a party to be carrying on a business within a province he or she must have a\u00a0<u>meaningful<\/u>\u00a0presence in the province and that presence must be accompanied by a degree of business activity over a sustained period of tim<\/strong>e.\u201d And he further referred to\u00a0<em>Club Resorts Ltd. v. Van Breda<\/em>, 2012 SCC 17 (\u201c<strong><em>Van Breda<\/em><\/strong>\u201d) for the proposition that carrying on a business requires some form of actual, not only virtual, presence in the jurisdiction.<\/p>\n<p>Ultimately, the Court of Appeal held that Justice Perell did not commit a palpable and overriding error in coming to the conclusion that Antigua and Barbuda was not \u201ccarrying on a business\u201d in BC at the relevant time. Justice Perell\u2019s analysis was consistent with the test outlined in\u00a0<em>Wilson v. Hull<\/em>, which was also relied on by HMB, to determine what constitutes \u201ccarrying on business.\u201d<\/p>\n<p>Furthermore, the Court of Appeal noted that HMB was not without a remedy. Had HMB brought a common law action in Ontario upon the Privy Council Judgment (provided it did so within the applicable two-year limitation period) there would have been no jurisdictional issue.<\/p>\n<p>In dissenting reasons, Justice\u00a0<a class=\"st_tag internal_tag\" title=\"Posts tagged with Nordheimer\" href=\"https:\/\/www.thelitigator.ca\/tag\/nordheimer\/\" rel=\"tag\" data-wpel-link=\"internal\">Nordheimer<\/a>\u00a0found that Justice Perell erred in principle by failing to apply the principles from\u00a0<em>Van Breda<\/em>. The Supreme Court of Canada in\u00a0<em>Chevron Corp. v. Yaiguaje<\/em>, was clear that\u00a0<em>Van Breda\u00a0<\/em>does not apply to the recognition and enforcement of judgments as it is a case about jurisdiction at first instance.<\/p>\n<p>By taking a generous and liberal approach, Antigua and Barbuda easily satisfied the requirement for \u201ccarrying on a business\u201d in BC. Justice Nordheimer noted that in this digital age, it is unnecessary to have any physical presence in order to run a business. Furthermore, the fact that Authorized Representatives in BC operated their own individual businesses separate from the CIP does not preclude Antigua from \u201ccarrying on business\u201d through them.<\/p>\n<p>Unlike the majority of the Court of Appeal, Justice Nordheimer addressed the meaning of \u201coriginal judgment\u201d under s. 3(g) of the\u00a0<em>REJA<\/em>, and found that it clearly referred to the BC judgment.
